Terms of Engagement

1. Definitions

"P3Analytica", "we", "us", and "our" refer to P3Analytica, operated from Quebec, Canada.

"Service" refers to the P3Analytica platform and all associated products, including but not limited to Career OS, Punkto, Custom BI engagements, and the operational excellence app suite.

"User", "you", and "your" refer to the individual or organization accessing the Service.

"Content" refers to any data, text, files, or other material you submit to or generate through the Service.

2. Eligibility and account registration

You must be at least 18 years of age, or have the consent of a parent or legal guardian, to create an account.

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Description of service

P3Analytica provides software applications and consulting services focused on operational excellence, business intelligence, and continuous improvement. The Service includes both personal-tier applications available on a freemium basis and business-tier applications available on subscription.

We may modify, suspend, or discontinue parts of the Service at any time. Where reasonable, we will provide advance notice of material changes.

4. Subscriptions and billing

Some features of the Service are offered on a free tier; others require a paid subscription. Pricing for each tier is published on the pricing page and may be updated from time to time, with notice to existing subscribers.

Subscriptions renew automatically unless cancelled before the end of the current billing period. You may cancel at any time through your account settings. Cancellations take effect at the end of the current paid period; no refunds are issued for partial periods unless required by applicable law.

All fees are exclusive of applicable taxes, which will be added where required.

5. Your content and data

You retain ownership of all Content you submit to the Service. You grant P3Analytica a limited, non-exclusive licence to host, process, and display your Content solely as necessary to operate the Service for you.

P3Analytica does not use your Content to train artificial intelligence or machine learning models without your explicit consent, including AI models operated by third parties on our behalf.

You are solely responsible for the Content you submit. You represent that you have all necessary rights to submit such Content and that it does not violate any law or infringe any third-party rights.

6. Acceptable use

You agree not to:

— use the Service for any unlawful purpose or in violation of any applicable law or regulation; — attempt to gain unauthorized access to the Service, other users' accounts, or our systems; — reverse-engineer, decompile, or attempt to extract source code from the Service; — resell, sublicense, or commercially exploit the Service without our written agreement; — upload malware, viruses, or other malicious code; — use the Service to harass, abuse, or harm another person.

7. Termination

You may terminate your account at any time through your account settings. Upon termination, your access to the Service ceases and your data will be deleted or anonymized in accordance with our Privacy Policy and applicable law.

We may suspend or terminate your account if you materially breach these Terms, with notice where reasonable. We may also terminate accounts that are inactive for an extended period.

8. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, except as required by applicable law. We do not warrant that the Service will be uninterrupted, error-free, or fit for any particular purpose.

P3Analytica is not a substitute for professional advice. Outputs generated by the Service, including from artificial intelligence features, should be reviewed by qualified humans before relying on them for material decisions.

9. Limitation of liability

To the maximum extent permitted by applicable law, P3Analytica's total aggregate liability arising from or relating to these Terms or the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD 100).

In no event will P3Analytica be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity.

Nothing in these Terms limits liability that cannot be limited under applicable law, including the Consumer Protection Act of Quebec where applicable.

10. Indemnification

You agree to indemnify and hold harmless P3Analytica from any claims, damages, or expenses arising from your Content, your use of the Service in violation of these Terms, or your violation of any third-party rights or applicable law.

11. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

Any dispute arising from these Terms or the Service shall be brought exclusively in the courts of the Province of Quebec, judicial district of Montreal, except where you, as a consumer, have a non-waivable right to bring proceedings in the courts of your place of residence under applicable law.

12. Dispute resolution

Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute informally by contacting us at the email address listed below. We will respond within thirty (30) days.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email (if you have an account) or by prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
